1. Legal Entity & Agreement to Terms
By accessing or using the Eco-Credit software, dashboard, platform, or integrated Mews PMS service extension, you agree to be bound by these Terms of Service & Conditions ("Terms").
Eco-Credit is operated under Dutch commercial registration:

2. Description of Service
Eco-Credit provides an automated sustainable hospitality engine. Our software syncs directly with Mews Property Management Systems (PMS) to track housekeeping cleaning skips and automatically issue guest rewards (F&B credits or tree planting allocations) back to guest folios based on rules configured by the partner hotel.
3. Registration & Account Security
To access the Eco-Credit GM Cockpit and active Mews integrations:
- You agree to provide true, accurate, and complete information during onboarding.
- You are solely responsible for maintaining the confidentiality of your administrative credentials.
- You must safeguard your Mews API tokens and access keys. Any suspected credential compromise must be reported immediately to tech@eco-credit.nl.
4. Credit Calculations & Ledger Controls
Eco-Credit functions as a rules-based calculation engine. While our system automates housekeeping status checks and transmits corresponding ledger updates to Mews:
- Partner hotels retain absolute control over final financial distributions, guest credits, and outlet whitelists.
- Eco-Credit is not liable for incorrect staff room entries, manual front-desk folio overrides, or improper Mews product mapping.
- Voucher redemptions, physical inventory, and outlet service provision remain the sole responsibility of the partner hotel.
5. Data Processing Addendum (GDPR Art. 28)
Insofar as Eco-Credit processes personal data of hotel guests (e.g. phone numbers, room stay dates) on behalf of the partner hotel:
- The Partner Hotel acts as Data Controller and Eco-Credit acts as Data Processor.
- Eco-Credit processes guest data strictly upon the instructions of the hotel to perform automated WhatsApp guest communications and credit adjustments.
- Eco-Credit maintains technical and organizational measures (TLS 1.3 encryption, AES-256 at rest, Row-Level Security) to ensure data confidentiality and safety.
6. Intellectual Property Rights
The platform, including source code, database architecture, design systems, logos, illustrations, dashboard components, and text copy, is the exclusive intellectual property of Eco-Credit. You are granted a limited, non-transferable, revocable license to access our platform solely for internal hotel operations during active subscription terms.
7. Fees and Billing
Service pricing is calculated on a per-verified-stay-over-cleaning-skip basis:
- Option A (Eco-Credit F&B Reward): €1.50 platform fee per verified skip.
- Option B (Plant a Tree): €3.00 fee per verified skip (€1.50 base platform fee + €1.50 tree planting allocation fee).
Billing cycles, payment terms, and invoicing details are specified in the hotel onboarding agreement and GM Cockpit setup. Unpaid invoices past 30 days may result in temporary suspension of Mews API synchronization.
8. Third-Party Integrations & Uptime
Our core service relies on continuous cloud connectivity and the Mews PMS API. While we maintain a 99.9% platform availability target, Eco-Credit is not responsible for service interruptions, DNS failures, or data delays caused directly by third-party PMS API outages or cloud provider disruptions.
9. Term, Suspension & Termination
Either party may terminate the service agreement with 30 days written notice to support@eco-credit.nl. Eco-Credit reserves the right to suspend API sync access immediately in cases of API abuse, security risk, or non-payment.
10. Indemnification & Limitation of Liability
To the maximum extent permitted by law, Eco-Credit shall not be liable for any indirect, incidental, or consequential damages. In no event shall total liability exceed the fees paid by your hotel to Eco-Credit in the three (3) months preceding the claim.
11. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any legal disputes shall be submitted exclusively to the competent court in Amsterdam, Netherlands.
